Terms of Agreement
This agreement regulates obligations and rights between the Customer and WeTree AB.
1. Definitions Customer: An organization or company that has activated a corporate account in the web-based SaaS service WeTree, provided by WeTree AB. Administrator at the Customer: The person responsible for payment for a corporate account in WeTree on behalf of the Customer and who manages members in WeTree for the Customer. Employee or Leader: A unique individual (e.g., an employee of the Customer or a third party) who is registered under the Customer and, via a password, gains access to WeTree. All individuals using WeTree must be identified by a user account linked to a customer account. 2. The Service A cloud-based SaaS service hereinafter referred to as WeTree, providing tools for leadership and team development. The service includes the delivery of a standardized subscription service. 3. WeTree AB’s Responsibilities WeTree AB undertakes to provide the Customer with access to the cloud-based SaaS service WeTree, as described on the website https://www.wetreeonline.com. In the event of a conflict between this agreement and the information on the website, this agreement shall take precedence. WeTree AB will take reasonable measures to ensure that the service is available on the Internet at all times, except when system updates are performed. WeTree AB is not responsible for the deletion or failure to store data and/or other information. WeTree AB will use industry standards to ensure that data is securely stored and backed up. 4. Customer’s Responsibilities The Customer shall comply with the security provisions approved during the registration of the Customer or the Customer’s members. The Customer must ensure that all details regarding billing or credit card information are accurate and agrees to update this information regularly. The Customer is responsible for its operations and members and must ensure compliance with national legislation when using the WeTree service. 5. User Privacy User privacy is important to WeTree AB, and WeTree AB is responsible for ensuring the personal integrity of its users. Certain personal information provided by the Customer to WeTree AB through the WeTree service may be stored on servers outside the country where the Customer is based, but always within the EU. The Customer agrees that WeTree AB’s support staff may access an account, including its content, in order to respond to service-related issues. More details on privacy and GDPR can be found in the “Privacy Policy” section at the end of this agreement. 6. Pricing and Payment Terms The Customer shall pay a license fee per month for the WeTree service based on the selected number of licenses, in accordance with the price list applied by WeTree AB, until the subscription (the Service) is canceled or terminated. The subscription is a non-binding agreement and shall remain in effect indefinitely, with a one-month notice period from either party. WeTree AB reserves the right to change the license price at any time but shall inform the Customer at least 30 days before the price change takes effect. The services provided by WeTree AB are billed to the Customer in advance. Payment must be made by registering a credit card, which will be charged on the due date. 7. Right to Use WeTree The Customer has the right to “invite” users to grant them access to the Customer’s account in WeTree, provided that the Customer has available unused licenses. The Customer’s Administrator may modify the number of licenses at any time during the contract period. Any reduction in licenses is not refunded retroactively but only affects future billing. The Customer understands that they are responsible for the individuals granted access to WeTree through a license. WeTree AB retains ownership of all intellectual property rights and technical solutions in WeTree. Such intellectual property rights and technical solutions may only be used by the Customer as specified in this agreement. 8. Support WeTree AB provides support for program-specific questions regarding the functionality of WeTree. Support is offered via email for all matters related to the use of WeTree. Support is available on weekdays (excluding Swedish public holidays) during WeTree’s regular business hours and to a reasonable extent, as determined by WeTree AB. Inquiries and/or error reports should be submitted to WeTree AB via the “Help” function in the tool. 9. WeTree AB’s Liability in Case of Service Disruptions Subject to the limitations specified in this agreement, in the event of errors or deficiencies attributable to WeTree AB, WeTree AB shall take action to correct such errors without undue delay. WeTree AB’s liability for damages shall be limited to direct losses unless the damage was caused by willful misconduct or gross negligence by WeTree AB. WeTree AB is not responsible for indirect damages or for the distortion of information due to unauthorized third-party access to WeTree AB’s or third parties’ computing resources. Nor is WeTree AB responsible for circumstances beyond its control. If service disruptions or errors result in the Customer being unable to access WeTree for more than one (1) month, the Customer has the right to terminate the agreement with immediate effect and receive a credit for the current month’s license fee. WeTree AB’s total liability for a Customer is limited to direct losses up to a maximum amount equivalent to the license fees paid by the Customer for WeTree during the three (3) months immediately preceding the breach of contract that entitles the Customer to compensation. 10. Passwords and Security The Customer must ensure that credentials such as passwords are securely stored and used. If unauthorized access is suspected, the Customer must immediately notify WeTree AB. The Customer is responsible for any losses or damages incurred by WeTree AB due to intentional or unintentional disclosure of credentials to a third party unless the Customer immediately notifies WeTree AB of the suspected breach. 11. Force Majeure A party shall be relieved from liability for damages or other penalties if a specific obligation is prevented or becomes excessively burdensome due to circumstances beyond the party’s control and which could not reasonably have been foreseen. Examples include labor disputes, lightning strikes, fires, government decisions, operator network failures, delays in supplier services due to such events, general shortages of transportation, goods, or energy, or other similar circumstances. If performance is hindered for more than one month due to such an event, either party has the right to terminate the agreement in writing without liability for damages. 12. Confidentiality WeTree AB undertakes not to disclose to any third party or otherwise make available any information received from the Customer or its employees under this agreement. This confidentiality obligation does not apply to information that WeTree AB can demonstrate was obtained other than through this agreement or that is publicly available. Nor does it apply when disclosure is required by law or government order. The confidentiality obligation remains in effect even after the termination of the agreement. 13. Changes and Additions to the Service WeTree AB reserves the right to modify the terms of this agreement, including but not limited to the pricing. The Customer will be informed of such changes via email or through information provided on WeTree AB’s website. If the Customer does not accept the changes, they have the right to terminate the agreement with immediate effect within thirty (30) days of receiving the notification. If the Customer does not terminate the agreement within this period, they are deemed to have accepted the new terms. 14. Term and Termination This agreement enters into force upon the Customer’s acceptance of these terms and the creation of an account in the SaaS service WeTree. The agreement is non-binding and remains in effect indefinitely, with a one-month notice period from either party. Upon termination, WeTree AB is not responsible for any information generated by the Customer or its members in WeTree. The Customer must ensure they have necessary backups of the information they wish to retain. WeTree AB reserves the right to delete all Customer-related data one (1) month after the agreement’s termination.
